This End User License Agreement and Terms of Service ("Agreement") is a binding contract between you ("User") and StampSpot ("Company"). By clicking "Accept," creating an account, or using the web application and platform (the "Platform"), you agree to the terms below. If you do not agree, do not access or use the Platform.
The Platform provides a digital platform that facilitates the scheduling, connection, and management of notarial services between notaries and signers. The Platform is not a law firm or a notary agency and does not provide legal or notarial advice.
The Platform provides a marketplace for connecting Users, including title companies, attorneys, and other professionals, with independent mobile notaries for the purpose of scheduling appointments, exchanging documents, and facilitating payments.
Notaries are not employees, agents, or representatives of Company. They are independent contractors. Company does not direct, supervise, or control their work or services.
Notaries are solely responsible for uploading their own licensing, credentials, and other professional information. Company does not independently verify the authenticity or accuracy of these materials. Company does not endorse, certify, or guarantee the quality, accuracy, or legality of any notary or the services they provide. Inclusion on the Platform does not imply recommendation or validation.
Notaries who use the Platform do so as independent contractors. The Platform does not supervise, control, or verify notarial acts and is not responsible for the conduct of any notary or the legality of any notarized document.
Users are solely responsible for selecting notaries and determining whether a notary is licensed, qualified, or appropriate for a particular assignment. All risks associated with hiring or engaging a notary rest with the User.
Company is not a party to any payment transaction between Users and notaries. Company shall not be held liable for non-payment, payment disputes, or the outcome of any notarial services.
You authorize Company to charge your credit card or other designated payment method for any order placed through the Platform.
All sales are final. Company does not issue refunds for orders placed through the Platform.
You must be at least 18 years of age and legally capable of entering into contracts to use the Platform.
Provided that you are eligible to use the Platform, the Company grants you a limited, revocable, non-transferable license to use the Platform solely for its intended purpose.
You agree to comply with all applicable laws, regulations, and ethical obligations governing the use of notarial services, including identity verification and data privacy obligations.
You are responsible for maintaining the security of your login credentials.

All content and materials on the Platform (excluding user-uploaded content) are the intellectual property of the Platform or its licensors. You may not reproduce, distribute, or create derivative works without written consent.
Company does not represent or warrant that use of the Platform is secure or that Confidential Information will remain confidential. Company is not responsible for any loss, misuse, or unauthorized disclosure of Confidential Information, whether due to user error, unauthorized access, third-party interception, or technical malfunction. The Platform is not intended for use in storing or transmitting data that is subject to special regulatory protections (e.g., HIPAA, GLBA, PCI-DSS), and Users agree not to use the Platform for such purposes.
If you upload, transmit, or store documents containing personally identifiable information (PII), financial account numbers, medical records, Social Security numbers, driver's license numbers, tax records, proprietary business information, or other sensitive data (collectively, "Confidential Information"), you do so entirely at your own risk. You acknowledge that the transmission and storage of Confidential Information via the internet inherently carries risk.
Company reserves the right to disclose documents or user data when required by law, subpoena, court order, or other legal process. Company shall not be liable for any damages resulting from such compliance.
By creating an account, you consent to receive notifications via text message and email for Platform-related activity.
Company is not liable for any errors, omissions, negligence, fraud, misconduct, or identity theft arising from the acts of any notary.
Company is not liable for business losses, delays, or damages resulting from Platform outages, crashes, or unavailability.
While the Company employs reasonable administrative, technical, and physical safeguards designed to protect the integrity and security of the Platform and its data, it does not represent or warrant that the Platform will be secure, free from vulnerabilities, or immune from unauthorized access, cyberattacks, malware, ransomware, denial-of-service attacks, or data breaches (collectively, "Security Incidents"). The Company shall not be liable for any loss, damage, exposure, corruption, or unauthorized disclosure of data resulting from a Security Incident, regardless of the cause, including but not limited to hacking, phishing, exploitation of vulnerabilities, employee misconduct, or third-party service provider failure. You acknowledge that any information or documents uploaded to or transmitted through the Platform are done so at your own risk, and you are solely responsible for implementing appropriate safeguards on your own systems and maintaining backup copies of your data.
To the maximum extent permitted by law, Company disclaims all warranties, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.
Company does not review or ensure the legal sufficiency of documents uploaded or exchanged via the Platform.
Company does not warrant long-term availability or retention of any uploaded documents.
To the maximum extent permitted by law, the Platform shall not be liable for any indirect, incidental, punitive, special, or consequential damages; any errors, omissions, or conduct of any user or notary; or any loss arising from a user's negligence, misuse of the Platform, or failure to comply with applicable law. In all cases, the total liability of the Platform, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the user to the Platform in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless the Platform and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms; (b) your use of the Platform; or (c) your violation of any law or the rights of any third party.
You agree not to upload confidential personal information unless necessary for a transaction and do so at your own risk.
Company does not provide legal, regulatory, or notarial advice. Use of the Platform does not create any attorney-client, fiduciary, or agency relationship between Company and any User.
Company may suspend or terminate your access at any time, with or without cause.
All disclaimers, indemnification obligations, and dispute resolution provisions survive termination.
You agree to indemnify and hold harmless Company from any claims, damages, or expenses (including attorney's fees) arising from your use of the Platform, violation of this Agreement, or misuse of any notary or client information.
All disputes shall be resolved exclusively through binding arbitration in Los Angeles, California, administered by the American Arbitration Association.
If you sue or bring an arbitration action against the Company and do not prevail, you agree to pay Company's reasonable attorney's fees and litigation costs.
You waive any right to a jury trial or class action participation in connection with any dispute involving the Platform or Company.
This Agreement is the entire agreement between you and Company regarding use of the Platform.
Company may revise this Agreement at any time. Continued use of the Platform constitutes acceptance of the revised terms.
This Agreement is governed by the laws of the State of California.
